Preference will be given to candidates who are partially qualified members of the Institute of Chartered Secretaries of Bangladesh (ICSB).
A minimum of 5 years' experience in the share department of a publicly listed company, with hands-on involvement in managing both physical (paper) and electronic (CDS) share transactions.
Skills
Supervise all share-related operations under the Corporate Affairs Department, including both physical and dematerialized (CDS) shares.
Manage tasks such as share issuance, transfer, dematerialization, and rematerialization processes.
Maintain and regularly update statutory registers and associated documentation.
Handle and review periodic reports from Central Depository Bangladesh Limited (CDBL) to ensure regulatory compliance and keep shareholder records current.
Prepare and submit compliance reports and statutory returns (monthly, quarterly, and annually) to relevant authorities, including RJSC, BSEC, DSE, CSE, and CDBL.
Manage the preparation, calculation, disbursement, and reconciliation of cash and stock dividends.
Issue dividend distribution statements and tax certificates in line with applicable tax laws and regulatory guidelines.
Prepare financial statements for employee-related funds, ensuring alignment with legal and accounting standards.
Corporate Affairs Support:
Assist the Company Secretary in matters related to corporate governance, regulatory compliance, and shareholder relations as needed.
